Software Licence Agreement

This Software Licence Agreement governs your use of the software products developed and distributed by AlphaPrime Technology, including Expert Advisors, indicators, dashboards, and analytical tools. By downloading, installing, or using any of our software, you agree to be bound by this agreement.

AlphaPrime Technology is a software development company. We are not a broker, fund manager, investment adviser, portfolio manager, or regulated financial institution. This agreement governs your use of our software only and does not create any advisory or brokerage relationship.

Subject to your compliance with this agreement and your continued membership, AlphaPrime Technology grants you a non-exclusive, non-transferable, revocable, worldwide licence to install and use the licensed software for your own personal trading and analytical purposes.

This licence is personal to you. You may not assign, sublicense, rent, lease, lend, sell, or otherwise transfer the software or this licence to any other person or entity. Any attempted transfer in violation of this clause is void.

Each licence key permits activation on a maximum of 2 devices simultaneously. This limit is enforced to prevent unauthorised sharing of licence keys and to protect the integrity of our licensing system.

You may deactivate a device from your account dashboard to free up an activation slot. If you replace a computer or device, please deactivate the old device before activating the new one. If you are unable to deactivate a device, contact support and we will assist you.

Exceeding the device limit through technical workarounds, key sharing, or licence circumvention tools is a material breach of this agreement and will result in immediate termination of your licence without refund.

You may use the software for your own trading and analysis, configure indicators and parameters to suit your strategy, and use the software on both demo and live trading accounts.

You may make backup copies of the software for your own use, provided that each copy retains all proprietary notices and is used only in accordance with this agreement.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software, except to the extent that applicable law expressly permits such activity.

You may not modify, adapt, translate, or create derivative works of the software; redistribute, resell, or share licence keys; remove or alter any proprietary notices; or use the software in any manner that violates applicable law or the terms of your broker.

Use of the software to facilitate illegal trading activity, market manipulation, or any activity prohibited by your broker or regulator is strictly forbidden.

AlphaPrime Technology retains all right, title, and interest in and to the software, including all intellectual property rights. The software is licensed, not sold. This agreement does not grant you any rights to our trademarks, trade names, or logos.

All updates, enhancements, and new versions of the software are governed by this agreement unless accompanied by a separate licence, in which case the terms of that licence will apply.

We may release updates, patches, or new versions of the software from time to time. Depending on your membership tier, certain updates may be included at no additional cost, while major new versions may require an upgrade.

We are not obligated to provide updates but will make reasonable efforts to maintain compatibility with supported trading platforms. We may discontinue support for older versions at our discretion.

The software is provided “as-is” without warranty of any kind, whether express, implied, or statutory. We do not warrant that the software will be error-free, uninterrupted, or compatible with all trading platforms, or that it will produce any particular trading results.

Any use of the software is at your own risk. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, AlphaPrime Technology is not liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to the use of the software, including any trading losses, lost profits, or data loss.

Our total liability for any claim arising from this agreement is limited to the amount you paid for the software in the 12 months preceding the claim.

We may terminate this licence and your right to use the software immediately if you breach any term of this agreement, fail to maintain an active membership, or engage in fraudulent or abusive activity. Upon termination, you must destroy all copies of the software in your possession.

You may terminate this licence at any time by uninstalling the software and destroying all copies. Termination does not relieve you of obligations accrued before termination.
